Terms & Conditions

Effective Date: 31 March 2025

  1. Introduction
    Welcome to VegaTech Project Management Services ("VegaTech"). By engaging with our project management services, you ("Client") agree to the following Terms and Conditions, which outline the scope of our services, responsibilities, and legal protections.

  2. Nature of Services
    VegaTech provides project management, consulting and advisory services related to lead generation, account-based marketing (ABM), prospecting, and outreach campaign optimization. Our services are strictly consulting in nature and do not constitute telemarketing or direct solicitation on behalf of the Client.

  3. Client Responsibilities
    The Client acknowledges and agrees that:
    - All final decisions regarding outreach strategies, campaign execution, and lead follow-up remain the Client’s sole responsibility.
    - The Client is responsible for obtaining the necessary legal consents from leads in accordance with applicable laws and regulations, including UAE Federal Decree-Law No. 45 of 2021 (PDPL).
    - The Client must ensure compliance with all relevant data protection and anti-spam laws when executing outreach campaigns.

  4. Legal Compliance & Consent
    The Client acknowledges that:
    - VegaTech does not obtain or verify consent from leads on behalf of the Client. The Client is fully responsible for ensuring compliance with UAE’s Personal Data Protection Law (PDPL) and any other applicable regulations.
    - Under UAE regulations, the Client must obtain explicit consent from individuals before sending marketing communications via email, phone, social media, or other channels.
    - Any fines, penalties, or legal claims arising from non-compliance with data protection or other applicable laws in any jurisdictions shall be the Client’s sole responsibility.

  5. Use of Third-Party Tools
    VegaTech may recommend or provide access to third-party tools such as Clay.com, ScoreMachine.ai, HeyReach.io, Smartlead.ai, Drippi.ai, Justcall.ai or other technical tools. The Client acknowledges that:
    - The use of these tools is subject to the respective providers' terms of service and data privacy policies.
    - VegaTech is not responsible for any misuse, data loss, or technical malfunctions caused by these tools.
    - The Client assumes full responsibility for managing and safeguarding any data processed through third-party platforms.

  6. Indemnification & Liability Limitation
    The Client agrees to indemnify, defend, and hold harmless VegaTech, its owners, employees, and affiliates from any claims, damages, losses, or liabilities arising from:
    - The Client’s actions or omissions related to the use of VegaTech’s consulting services.
    - The Client’s failure to comply with relevant data protection, consent, or marketing laws.
    - Any disputes, legal claims, or financial damages resulting from interactions with third-party tools or service providers.
    Under no circumstances shall VegaTech be liable for:
    - Any indirect, incidental, special, or consequential damages related to the Client’s business operations.
    - Loss of data, revenue, or business opportunities due to campaign execution, system errors, or regulatory non-compliance.
    - Any legal actions taken against the Client due to improper outreach practices.

  7. Confidentiality
    Both parties agree to maintain confidentiality regarding sensitive business information shared during the engagement. VegaTech will not disclose or share any proprietary Client data without prior written consent, except as required by law.

  8. Payment Terms
    The Client agrees to the following payment terms:
    - All consulting fees are payable as per the agreed schedule.
    - Payments are non-refundable once services have commenced.
    - Any additional costs related to third-party tools or platforms shall be borne by the Client.

  9. Termination
    Either party may terminate the engagement with a 30-day written notice. VegaTech reserves the right to terminate services immediately if the Client engages in unlawful activities or breaches these Terms and Conditions.

  10. Governing Law & Dispute Resolution
    These Terms and Conditions shall be governed by the laws of the United Arab Emirates. Any disputes arising from this agreement shall be resolved through amicable negotiations. If unresolved, disputes shall be subject to arbitration in Dubai.

  11. Amendments
    VegaTech reserves the right to update these Terms and Conditions at any time. The Client will be notified of any changes, and continued engagement with our services shall constitute acceptance of the revised terms.
